To convert the paper documents to electronically editable documents, you will need a scanner and an OCR software (and a computer, of course). Which one does play more important role in determining the quality of the converted documents? Does it the scanner or the software?

Both! We should need a scanner that can scan clear documents so the OCR won't have a hard time reading the scanned documents. The OCR also should be good at reading the documents so that we don't have to edit much on the digital copy.

I'm biased towards the scanner, to be honest. If the software's bad, then at least a human being can look at the scanned image and make the corrections hirself. But if the scan is bad, then no amount of human or digital intervention will be able to decipher it.

That makes sense, Angie. If you could read the document, the software might be or might be not able to convert it accurately. But if even you couldn't read it there is no way a software could convert it.
